About This Item
London [?], 1886. Manuscript folio document on parchment, 10 pages (the last 3 blank except for the docket on the verso of the final leaf), in a neat, secretarial hand, ruled in red throughout, with a 10-shilling Royal Court of Justice stamp affixed to the first page, and the 2 wax seals of Long and Barry, with their signatures and those of the witnessing solicitor on page 7. Very good and legible. "Whereas the said ... Long has entered into a contract dated the sixth day of October one thousand eight hundred and eighty-five with Henry Puckridge Dixon and Charles Arthur Dixon for the purchase from them of certain freehold and leasehold ... known as the Marlborough Brewery at Marlborough in the county of Wilts, together with certain freehold public houses held in connection therewith and their goodwill business of a brewer and wine and spirit merchant carried on at the Marlborough Brewery for the price of five thousand pounds..." The contract for partnership goes on to outline the specifics of the transaction, including the shares due to each partner, the profit and loss due to each, starting dates of the agreement, the infusion of capital, dividends paid, banks used, hours worked, exclusivity clause, the hiring of apprentices and clerks, security bonds, financial reports, termination at death, rent on a dwelling used by Long on the property, etc. The partnership did not last long. The brewery was dissolved by mutual consent in December, 1889.
